SERVICE AGREEMENT

 

This Service Agreement (the "Agreement") is made and entered into between [Client] ("Client") and Physician Transformation Institute ("PTI"), with an address at 333 West Loop North Suite 250 Houston, TX 77024. This Agreement shall be effective as of the date of purchase.

  1. The Client agrees to pay the Company for the services provided, as set forth in the scope of work or proposal. Payment is due at the time of purchase, and no refunds are offered. However, on a case by case basis, the Company may consider refunds or other forms of credit.

  2. Confidentiality The Company agrees to maintain the confidentiality of all information provided by the Client, and not to disclose such information to any third party without the express consent of the Client. The Client agrees to keep confidential any information relating to the Company's business or services, and not to disclose such information to any third party.

  3. Ownership of Work Product The Company agrees that any work product created or developed during the course of providing the services shall be owned by the Client, and the Company shall have no claim to any such work product.

  4. Termination Either party may terminate this Agreement upon written notice to the other party. In the event of termination, the Client shall pay the Company for all services provided up to the date of termination.

  5. Limitation of Liability The Company's liability to the Client for any claims arising out of the services provided hereunder shall be limited to the amount paid by the Client to the Company for such services. The Company shall not be liable for any consequential, incidental, indirect, or special damages arising out of or in connection with the services provided hereunder.

  6. Governing Law This Agreement shall be governed by and construed in accordance with the laws of the state of Texas.

  7. Entire Agreement This Agreement constitutes the entire agreement between the parties and supersedes all prior agreements and understandings, whether written or oral, relating to the services provided hereunder.

Services The Company agrees to provide services to the Client, which may include but are not limited to consulting, coaching, training, workshops, and other services as specified in the scope of work or proposal. The services shall be provided in a professional and timely manner by qualified personnel.

Fees Client agrees to pay PTI for the services rendered under this Agreement. The fees for the services shall be $685 per year. The first payment is due on the Effective Date of this Agreement, and subsequent payments are due on the same day of each month/quarter/year. Fees are automatically renewed unless canceled by the Client prior to the next billing cycle. All fees are non-refundable, but in rare cases, PTI may offer refunds on a case-by-case basis.

Term and Termination This Agreement shall continue until the services are completed or until the Agreement is terminated. Either party may terminate this Agreement with or without cause by providing 7 days' written notice to the other party or if either the Client or PTI electronically terminates within our online software.

Confidentiality PTI shall maintain the confidentiality of all information related to the Client, and shall not disclose any such information to any third party without the Client's prior written consent.

Governing Law This Agreement shall be governed by and construed in accordance with the laws of the State of Texas.

Entire Agreement This Agreement constitutes the entire understanding between the parties and supersedes all prior discussions, understandings, or agreements, whether oral or written.
