Terms and Conditions for Physician Transformation Institute (PTI) Online Library Membership

PLEASE READ THESE TERMS AND CONDITIONS CAREFULLY. BY CLICKING THE "I have read and agree to the terms and conditions of this page as follows:" BOX OR SIMILAR CONFIRMATION, AND PROCEEDING WITH YOUR DONATION, YOU AGREE TO BE BOUND BY ALL OF THE TERMS AND CONDITIONS SET FORTH HEREIN. IF YOU DO NOT AGREE TO THESE TERMS AND CONDITIONS, DO NOT CLICK THE AFOREMENTIONED BOX AND DO NOT PROCEED WITH YOUR DONATION OR ACCESS TO THE ONLINE LIBRARY.
This Agreement (the "Terms and Conditions" or "Agreement") is entered into between [Your Name/User's Entity] ("Client," "You," or "Your") and Physician Transformation Institute ("PTI," "We," "Us," or "Our"), a Texas nonprofit corporation with its principal place of business located at 333 West Loop North Suite 250, Houston, TX 77024.
1. Membership, Access, and Charitable Contributions
1.1. Donation-Based Membership: By agreeing to these Terms and Conditions and making a Donation, You are enrolling in a donation-based membership with PTI. This membership primarily grants You access to PTI's exclusive online library (the "Online Library").
1.2. Charitable Contributions: You acknowledge and agree that all payments made to PTI under this Agreement are voluntary charitable contributions (each, a "Donation") intended to support PTI's mission and operations as a nonprofit organization. Each Donation is due at the time of purchase or renewal.
1.3. Donation Refund Policy: All Donations are generally non-refundable. Notwithstanding the foregoing, PTI may, at its sole discretion and on a case-by-case basis, consider requests for refunds or other forms of credit. Any decision by PTI regarding a refund is final.
1.4. Tax Deductibility Disclaimer: You understand that while PTI is a 501(c)(3) nonprofit organization, the value of the benefit You receive through access to the Online Library may affect the tax deductibility of Your Donation. You are solely responsible for consulting with Your personal tax advisor regarding the deductibility of any contribution to PTI. PTI provides no tax advice.
2. Grant of Access and Restrictions
2.1. Access Grant: Subject to Your full compliance with these Terms and Conditions and the timely remittance of Your Donation, PTI grants You a non-exclusive, non-transferable, revocable, and limited right to access and use the Online Library for the duration of Your active membership.
2.2. Online Library Content: The Online Library may include, but is not limited to, articles, videos, webinars, publications, tools, and other educational resources related to physician transformation, well-being, and professional development. PTI reserves the right to modify, update, or discontinue any content within the Online Library at any time without prior notice.
2.3. Permitted Use: You agree to use the Online Library and its content solely for Your personal, non-commercial, and educational purposes.
2.4. Prohibited Conduct: You expressly agree not to, and will not permit others to: a. Share Your login credentials or account access with any third party. b. Reproduce, duplicate, copy, sell, resell, distribute, publish, display, perform, or otherwise exploit any portion of the Online Library content for commercial purposes without PTI's express prior written consent. c. Engage in automated downloading, scraping, data mining, data harvesting, or any similar data gathering or extraction methods from the Online Library. d. Use the Online Library or any PTI services in any manner that is unlawful, harmful, threatening, abusive, harassing, defamatory, vulgar, obscene, or otherwise objectionable, or that interferes with or disrupts the integrity or performance of the Online Library or its associated data. e. Attempt to gain unauthorized access to PTI's systems, accounts, or networks related to the Online Library. f. Introduce any viruses, trojan horses, worms, logic bombs, or other material that is malicious or technologically harmful.
3. Intellectual Property
3.1. Ownership: You acknowledge that all content within the Online Library, including but not limited to text, graphics, images, audio, video, software, and other materials, is the exclusive intellectual property of PTI or its licensors and is protected by copyright, trademark, and other intellectual property laws.
3.2. No Transfer of Ownership: This Agreement grants You a limited license to access the Online Library; it does not transfer any ownership rights or intellectual property rights from PTI to You.
4. Term and Termination
4.1. Term: Your membership and this Agreement shall commence on the Effective Date and shall continue for an initial term of one (1) year (the "Initial Term"), automatically renewing for successive one (1) year terms (each, a "Renewal Term") unless terminated earlier in accordance with this Agreement.
4.2. Donation Amount and Renewal: The suggested annual Donation for membership and access to the Online Library is Six Hundred Eighty-Five Dollars ($685.00 USD). Subsequent annual Donations are due on the anniversary of the Effective Date. Your membership and associated Donation cycle will automatically renew unless You cancel it prior to the next billing cycle.
4.3. Termination by Either Party: Either You or PTI may terminate this Agreement with or without cause by providing seven (7) days' written notice to the other party. Electronic termination initiated by You or PTI within PTI's online software (e.g., through Your account settings) shall also constitute valid notice.
4.4. Effect of Termination: Upon termination, Your access to the Online Library will immediately cease. You acknowledge that any Donations made up to the date of termination are non-refundable, subject to the specific refund policy outlined in Section 1.3.
5. Limitation of Liability
5.1. Limitation: To the maximum extent permitted by applicable law, PTI's total cumulative liability to You for any claims arising out of or in connection with this Agreement or the services provided hereunder, whether in contract, tort (including negligence), or otherwise, shall be limited to the amount of the Donation paid by You to PTI for the current annual membership term.
5.2. Exclusion of Damages: In no event shall PTI be liable for any indirect, incidental, consequential, special, punitive, or exemplary damages, including but not limited to, loss of profits, data, use, goodwill, or other intangible losses, arising out of or in connection with this Agreement or the use of or inability to use the Online Library, even if PTI has been advised of the possibility of such damages.
6. Disclaimer of Warranties
6.1. "AS IS" Basis: The Online Library and all content therein are provided on an "as is" and "as available" basis, without warranties of any kind, either express or implied, including, but not limited to, implied warranties of merchantability, fitness for a particular purpose, non-infringement, or course of performance. PTI does not warrant that the Online Library will be uninterrupted, error-free, or secure.
6.2. No Professional Advice: You acknowledge that the content provided within the Online Library is for informational and educational purposes only and does not constitute professional medical, legal, financial, or other advice. You should consult with qualified professionals for specific guidance related to Your individual circumstances. PTI does not guarantee the accuracy, completeness, or usefulness of any information in the Online Library, and You rely on such information at Your own risk.
7. Confidentiality and Privacy
PTI shall maintain the confidentiality of all personally identifiable information related to You provided during the membership process, and shall not disclose any such information to any third party without Your prior written consent, except as required by law or as outlined in PTI's Privacy Policy (which is incorporated by reference herein). You agree to review PTI's Privacy Policy, available on PTI's website, for more information on how Your data is collected, used, and protected.
8. Governing Law and Dispute Resolution
This Agreement shall be governed by and construed in accordance with the laws of the State of Texas, without regard to its conflict of laws principles. Any legal action or proceeding arising under this Agreement shall be brought exclusively in the state or federal courts located in Harris County, Texas.
9. Entire Agreement
This Agreement constitutes the entire understanding and agreement between You and PTI with respect to the subject matter hereof and supersedes all prior and contemporaneous discussions, understandings, communications, and agreements, whether oral or written.
10. Acceptance
BY CLICKING THE "I have read and agree to the terms and conditions of this page as follows:" BOX BELOW, YOU AFFIRM THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE BOUND BY ALL THE TERMS AND CONDITIONS OF THIS AGREEMENT. YOUR ACCEPTANCE OF THESE TERMS IS REQUIRED TO PROCEED WITH YOUR DONATION AND ACCESS TO THE PTI ONLINE LIBRARY.
